NFFD Agency Agreement

WHEREAS, the Company desires to appoint and engage the Agent as its lawful agent and
representative to perform the Services described hereunder;

1. Appointment

The Company hereby appoints the Agent to perform the following activities upon the terms and conditions contained under this Agreement:
To receive GDPR regulated data of potential clients interested in receiving information with regard to Later Life Planning.

To contact and arrange in-house or telephonic presentations with potential clients with a view to obtaining personally sensitive information and signing Probate documentation supplied by the company on paper or digitally and abiding by all guidelines as laid out by the company.

2. Territory

The territory as agreed by the company

3. Term

This agreement shall commence on the date written below and shall continue for a period of 90 days. Thereafter this Agreement shall be automatically renewed for successive terms of (90) days unless either party gives 30 days written notice to the other party prior to the expiration of the original term or any renewal term specifying its intention not to renew.

4. Exclusivity

The parties hereby agree that the Agent will work on a non-exclusive basis and may engage in other Services for any other company, providing they are not of a direct competitive nature and subject to prior approval by the Company. Any data supplied by us will not be used for any other purpose.

5. Expenses

The Agent shall be responsible for the expenses incurred by the Agent in the performance of the obligations incurred pursuant to this agreement.

6. Commission

The Agent shall receive a fee as agreed under separate cover.

7. Payments

All commissions shall be due and payable to Agent upon receipt of a valid claim form and invoice by the 25th (Claim Day) of the month for payment on the following claim day. (This provides for administration and cancellation periods)

8. Inspection of Records

The payment of commission shall be accompanied by a statement reflecting net revenue received from source, for which the Company is accountable to the Agent.

9. Termination

(a) This Agreement can be terminated by either party upon giving a thirty (30) day’s written notice of termination to the other party.
(b) The Company may terminate this Agreement in the event of the Agent’s breach of contract, insolvency, bankruptcy, liquidation, death, or disability of the Agent
(c) The Agent may terminate this Agreement if the Agent becomes bankrupt or commits a material breach of the Agreement.

10. Intellectual Property

Subject to the terms of this Agreement, Agent acknowledges and agrees that all copyrights, trademarks and service marks and rights in the name of or licensed to Company shall be and remain the sole and complete property of Company and the Agent shall not at any time acquire or claim any right, title or interest of any nature in any such copyright, trademark or service mark by virtue of this Agreement.

11. Independent Contractor

The Agent agrees that nothing contained herein shall be construed to create the relationship of employer and employee between Company and Agent, or any sub-agent of Agent.

12. Indemnification

Either party agrees to hold harmless and to indemnify the other against all costs, claims or demands that may be made against it arising from the negligence of any kind by such party in connection with this Agreement. It is also required that self-employed agents take out Public Liability insurance
